Furthermore, because the loan terms would likely provide the lenders access to the borrower's other assets, availability of such representations would be of less concern. Since securitization investors can neither obtain performance representations nor make an adequate investigation, they require alternate and costly means to assure the quality of the receivables.109 Patent valuation is a critical factor in determining the viability patent of securitization.110 The predicament experienced by most companies is that while the majority of their value reside in their intangible assets, namely, patents, the value of those intangible assets is hard to determine.111 This dilemma reflects the inability of the parties to value the underlying asset. Accordingly, the difficulty in quantifying cash flows and the volatility of those cash flows impede securitization. Improving valuation entails not only standardization of methods and growth in the practice, but also dissemination of IP value information and a broader acceptance of the reliability of values placed on IP.112 As expected, falling risk perception corresponds to an increased potential for IP-backed securitization.113 Similarly, valuation of IP lowers risk by improving investors' confidence that the asset underlying their security has been accurately valued.114 While broader acceptance of standard valuation methods portends to allay these concerns, patent valuation nonetheless serves to inhibit growth in patent securitizations. Patent Litigation Another consideration is the uncertainty involved with patent litigation. The ability to generate cash flows from patents stems from the limited monopoly right bestowed to the patent holder to prevent others from using the patent. A successfully challenged patent may cause a severe loss of revenues or an entire loss of value.115 If the patent holder's right is invalidated, the patent's ability to generate cash flows would be effectively reduced to nothing.
